Terms of Service

Effective: June 28, 2026

Welcome to Musicalysis. This agreement is between you (“you,” “user,” “student,” or “client”) and Musicalysis (collectively, “Musicalysis,” “we,” “us,” or “the Company”). By creating an account, subscribing, or using our websites, apps, or services (including app.musicalysis.com ), you agree to these Terms of Service. If you do not agree, do not use the Service.

1. License to the software and service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Musicalysis web application and related features for your personal, non-commercial music education and practice, during your subscription or trial period. You may not sell, rent, lease, distribute, or host the Service for others.

Restrictions. You may not (and may not permit others to): copy, modify, or create derivative works of the Service; reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas (except where applicable law forbids this restriction); circumvent technical limits, security, or access controls; use the Service to build a competing product; scrape or harvest data except through intended interfaces; interfere with or overload our systems; or use automated means (bots, scripts) in a way that burdens the Service or violates community rules.

2. Accounts, billing, and eligibility

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account. Taxes may apply based on your location and are shown at checkout when collected.

Subscriptions, renewals, and cancellation. Paid Lite and Plus plans renew automatically at the end of each billing period until you cancel. You can cancel anytime from account settings in the app; access continues through the end of the then-current paid period, after which the account moves to the Free plan. Trial periods convert to paid subscriptions unless you cancel before the trial ends, except that a new Free account’s introductory Plus access ends by moving you to Free without charging a card. Renewal charges use the payment method on file with our payment processor (Stripe). Additional checkout screens may summarize price, term length, and renewal; if those screens conflict with these Terms on a point required by law, the legally required disclosure controls for that purchase.

Refunds. Unless required by applicable law or stated in a specific offer, subscription fees are non-refundable for partial periods after a renewal charge. If you believe a charge was made in error, contact info@musicalysis.com promptly so we can review it.

Pricing and promotions. We may change subscription prices, fees, plan features, billing practices, and any promotional offers, discounts, coupons, free trials, bundles, referral credits, or similar benefits at any time, in our sole discretion, subject to applicable law and any notice or consent requirements that apply to you. Unless we state otherwise in writing for a specific offer, promotions are temporary, may be limited by eligibility, region, duration, or other conditions, and we may end or modify them without advance notice. Where the law requires notice or consent for material changes to an ongoing paid subscription, we will comply with those requirements.

Children. If you are under 13, you may not use the Service unless a parent or legal guardian has provided any consent we require and supervises your use as described in our Privacy Policy. If you are between 13 and the age of majority in your jurisdiction, you represent that you have permission from a parent or guardian.

3. Acceptable Use Policy, Community Guidelines, and conduct

Features such as Musicalysis Connect may allow real-time sync, session chat, video-meeting links, contacts, invites, public or semi-public profiles, media libraries, courses, educational materials, comments, and related tools. You agree to use all community, publishing, communication, and collaboration features lawfully, respectfully, and only for purposes permitted by these Terms. You must not:

  • Harass, threaten, defraud, stalk, or abuse other users.
  • Upload, store, create, share, transmit, display, publish, sell, promote, or distribute illegal content, malware, deceptive content, or content that infringes or misappropriates another person's copyright, trademark, trade secret, publicity, privacy, contractual, or other rights.
  • Share leaked, stolen, pirated, bootleg, or unauthorized recordings, videos, stems, scores, sheet music, song sheets, chord charts, lyrics, tabs, PDFs, images, course materials, lessons, transcriptions, or other works.
  • Spam, solicit unrelated commercial services, or mine data about other users without consent.
  • Impersonate any person or misrepresent your affiliation.
  • Use chat or sessions to coordinate harmful activity, evade law enforcement, or violate platform safety policies.
  • Use the Service to violate export controls, sanctions, anti-spam laws, privacy laws, child-safety laws, or any other applicable law.

We may, but are not required to, investigate reports, remove or restrict content, suspend or terminate accounts, limit sharing features, preserve records, cooperate with copyright owners, cooperate with law enforcement, and comply with subpoenas, court orders, and other valid legal requests when we believe it is necessary or appropriate to protect users, rights holders, the public, Musicalysis, or the Service. You may submit safety reports through in-product flows (for example, reporting a message or user); submitting a report must be done in good faith.

4. AI-assisted features

Musicalysis may provide AI-assisted features, including an AI Music Assistant, tutoring, practice suggestions, explanations, generated lesson guidance, chat responses, notation or theory support, and related interactive tools. When you use these features, you understand that you may be interacting with an automated AI system, not a human teacher, therapist, legal advisor, or professional counselor.

AI-generated responses may be incomplete, inaccurate, or inappropriate for your specific circumstances. You are responsible for reviewing and evaluating AI outputs before relying on them, sharing them, teaching from them, publishing them, or using them in practice, performance, educational, or commercial settings.

AI-assisted features are provided for music education, practice, and productivity purposes. They are not intended to provide medical, mental-health, legal, financial, or emergency advice. If you need professional advice or emergency assistance, contact an appropriate qualified professional or emergency service.

We may process your prompts, chat messages, musical inputs, uploaded content, practice context, and related metadata as reasonably necessary to provide, secure, improve, troubleshoot, and support AI-assisted features, subject to our Privacy Policy.

5. User content, ownership, and platform license

"User Content" means any content, data, files, materials, works, or communications that you upload, record, store, create, submit, transmit, share, display, publish, distribute, or otherwise make available through the Service. User Content includes, without limitation, audio files, video files, browser-tab recordings, microphone recordings, song charts, chord charts, lyrics, sheet music, music transcriptions, PDFs, images, course materials, educational content, comments, profile content, chat messages, collaboration materials, and user-generated content of any kind.

As between you and Musicalysis, you retain any ownership rights you have in your User Content. Musicalysis does not receive ownership rights in your User Content. You grant Musicalysis a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, encode, transcode, cache, process, analyze, transmit, stream, display, perform, distribute, make available, and otherwise use your User Content solely as reasonably necessary to provide, maintain, secure, improve, troubleshoot, and support the Service; to operate features you choose to use, such as playback, previews, waveform rendering, backups, collaboration, sharing, publishing, courses, public profiles, and support; to enforce these Terms; and to comply with law.

This license continues for as long as your User Content is stored in or made available through the Service and for a commercially reasonable period afterward for backup, legal, compliance, security, audit, and dispute resolution purposes. If you share or publish User Content with other users or the public, you understand that those users may access, view, use, copy, or re-share that content depending on the feature settings and their own conduct, and Musicalysis is not responsible for their actions.

6. User responsibility for content and activities

You are solely responsible for all User Content and for all activity associated with your account, uploads, media library, sharing settings, public profile, courses, educational materials, collaborations, communications, and interactions with other users. You assume full legal responsibility for content you upload, record, store, create, share, transmit, distribute, display, perform, publish, sell, or otherwise make available through Musicalysis.

Musicalysis acts solely as a technology platform and service provider. We do not review all uploaded content, do not verify ownership of uploaded content, do not guarantee the legality of user-uploaded content, and do not endorse User Content. Availability of tools for recording, upload, storage, analysis, teaching, collaboration, or publication does not mean that Musicalysis authorizes your use of any third-party work or determines that your use is lawful.

Educational, analytical, commentary, practice, transcription, lesson, or instructional uses of music-related content may still require permission from rights holders. You are solely responsible for determining whether your use is lawful. Musicalysis makes no representation that any particular upload, transcription, analysis, lesson, course, quotation, clip, excerpt, cover, performance, synchronization, reproduction, distribution, display, publication, or other use qualifies as fair use, educational use, licensed use, public-domain use, or any other exception under copyright law.

If you share meeting links (Zoom, Google Meet, Microsoft Teams, etc.), you are responsible for complying with those providers' terms and for who you admit to your meetings.

7. Copyright ownership and permissions warranty

For all User Content and all activities conducted through the Service, you represent and warrant that:

  • You own the User Content or have obtained all necessary rights, licenses, permissions, releases, consents, and authorizations to upload, record, store, create, reproduce, adapt, transcribe, synchronize, stream, publicly perform, publicly display, distribute, transmit, share, publish, sell, or otherwise use it through Musicalysis in the manner you use it.
  • Your User Content and your use of the Service will not infringe, misappropriate, or violate any copyright, trademark, trade secret, moral right, privacy right, publicity right, contractual right, or other legal right of any person or entity.
  • You have secured any rights needed for musical compositions, sound recordings, lyrics, arrangements, sheet music, notation, tablature, synchronized video, images, performances, samples, stems, course materials, and any third-party materials included in your User Content.
  • You will comply with all laws, rights-holder restrictions, license terms, collective-management obligations, platform terms, union or guild rules, privacy obligations, and payment obligations that apply to your User Content and activities.

8. Copyright Policy

Musicalysis respects the intellectual property rights of artists, composers, publishers, labels, educators, creators, and other rights holders. You may not use the Service to infringe copyright or to facilitate unauthorized copying, storage, distribution, public performance, public display, synchronization, publication, or transmission of copyrighted works. This restriction applies to all media and materials, including audio, video, song charts, chord charts, lyrics, sheet music, music transcriptions, PDFs, images, courses, lessons, and other educational or creative content.

We may remove or disable access to content at our sole discretion, with or without notice, including when we believe content may infringe rights, violate these Terms, expose Musicalysis or users to legal risk, or otherwise be inappropriate for the Service. We may also suspend or terminate accounts, restrict sharing or publishing features, preserve evidence, cooperate with copyright owners, cooperate with law enforcement, and comply with subpoenas and other legal requests.

9. DMCA Compliance and Takedown Policy

Musicalysis is intended to operate in accordance with the Digital Millennium Copyright Act, 17 U.S.C. §512 ("DMCA"), and other applicable copyright laws. If you believe that content available through the Service infringes your copyright, you may send a written notice to our copyright agent at info@musicalysis.com . Please include "DMCA Notice" in the subject line.

A DMCA notice should include all of the following:

  • A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf.
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notice, a representative list of those works.
  • Identification of the material claimed to be infringing or the subject of infringing activity, with information reasonably sufficient for us to locate the material, such as URLs, account names, file names, project names, course names, message identifiers, screenshots, timestamps, or other relevant details.
  • Your name, mailing address, telephone number, and email address.
  • A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner.

When we receive a substantially compliant DMCA notice, we may remove or disable access to the identified material, notify the user who posted it, and take other action we deem appropriate. We may reject, request clarification for, or take no action on incomplete, abusive, fraudulent, or legally insufficient notices.

Counter-notifications

If your content was removed or disabled because of a DMCA notice and you believe the removal was a mistake or misidentification, you may send a written counter-notification to info@musicalysis.com . Please include "DMCA Counter-Notice" in the subject line.

A counter-notification should include all of the following:

  • Your physical or electronic signature.
  • Identification of the material that was removed or disabled and the location where it appeared before removal or disabling.
  • A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification.
  • Your name, mailing address, telephone number, and email address.
  • A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or if your address is outside the United States, to the jurisdiction of the federal courts located in Delaware, and that you will accept service of process from the person who submitted the DMCA notice or that person's agent.

If we receive a valid counter-notification, we may forward it to the original complaining party. Unless the copyright owner notifies us that it has filed an action seeking a court order to restrain the allegedly infringing activity, we may restore the removed material in accordance with the DMCA. Submitting false notices or counter-notices may expose you to liability under 17 U.S.C. §512(f) and other laws.

10. Repeat Infringer Policy

In appropriate circumstances and at our discretion, Musicalysis will terminate or disable accounts of users who are repeat infringers. We may also limit, suspend, or terminate accounts or sharing features when users receive multiple copyright complaints, submit infringing content, evade enforcement, abuse the DMCA process, or otherwise create legal risk for Musicalysis, rights holders, users, or the public. We may consider the number, seriousness, timing, and validity of complaints; counter-notices; retractions; court orders; account history; and other relevant information.

11. Our intellectual property

The Service, including software, UI, branding, text, graphics, exercises, and training content provided by Musicalysis, is owned by Musicalysis or its licensors. Except for the limited license above, no rights are granted. You may not remove notices, copy our marketing or product for competing purposes, or claim ownership of our materials.

12. Health, practice, and instruction

Music practice, singing, and use of training tools involve physical and vocal effort. The Company is not responsible for injury or harm resulting from practice, lessons, or use of digital tools. Follow safe practice habits and consult qualified professionals for medical or vocal health concerns.

If you purchase live instruction or related services, additional policies (scheduling, cancellations, conduct toward instructors, payments only through official channels) may apply as communicated at enrollment. Where those policies conflict with these Terms on the same subject, the more specific enrollment terms control for that service.

13. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT USER CONTENT IS ACCURATE, LAWFUL, NON-INFRINGING, SAFE, AVAILABLE, OR SUITABLE FOR ANY PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSICALYSIS, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, CONTENT, GOODWILL, BUSINESS, OR REPUTATION, ARISING FROM OR RELATED TO THE SERVICE, USER CONTENT, CONTENT REMOVAL, ACCOUNT SUSPENSION, ACCOUNT TERMINATION, THIRD-PARTY CONDUCT, COPYRIGHT CLAIMS, DMCA CLAIMS, OR LEGAL REQUESTS. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

14. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Musicalysis, its owners, officers, employees, contractors, affiliates, licensors, service providers, successors, and assigns from and against any claims, demands, actions, investigations, damages, losses, liabilities, settlements, judgments, costs, penalties, fines, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (a) your User Content; (b) your upload, recording, storage, creation, sharing, transmission, display, performance, distribution, publication, sale, or other use of content through the Service; (c) alleged or actual copyright infringement, trademark infringement, misappropriation, unauthorized distribution of copyrighted works, DMCA claims, privacy violations, publicity-right violations, or other intellectual property violations; (d) your courses, public profiles, collaborations, communications, or interactions with other users; (e) your violation of these Terms, any applicable policy, or any law; or (f) your negligence, willful misconduct, fraud, or misuse of the Service. We may control the defense of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any claim in a way that imposes obligations or liability on Musicalysis without our prior written consent.

15. Suspension, termination, content removal, and survival

We may remove, block, disable, restrict, or preserve content and may suspend, limit, or terminate access to any account, feature, course, public profile, collaboration, or sharing function if you breach these Terms, receive copyright or other rights complaints, create legal or security risk, harm users or rights holders, violate law, or if we discontinue the Service. We may take these actions at our sole discretion, with or without notice, subject to applicable law. You may stop using the Service at any time. Provisions that by nature should survive (including licenses you grant us to the extent needed to wind down, ownership, copyright provisions, DMCA provisions, disclaimers, limitations, indemnity, and dispute terms) will survive termination.

16. Changes

We may update these Terms. We will post the revised version and update the effective date. If changes are material, we will provide notice as required by law (for example, by email or in-product notice). Continued use after the effective date may constitute acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Courts in Delaware (or the U.S. federal courts located there) have exclusive jurisdiction for disputes, subject to any right you may have to bring claims in your local courts under applicable consumer law.
